Terms of Service for DialogIQ

Please read these Terms of Service (“Terms”, “ToS”) carefully before using the DialogIQ Google Workspace Add-on (“DialogIQ”, “Add-on”, “Service”) operated by DialogIQ (“We”, “Us”, “Our”).
Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all users who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.
0. Beta Program Participation
You acknowledge and agree that the Service is currently provided as a “beta” version and is undergoing testing before its official release. As such, the Service may contain bugs, errors, and other problems, and may not be complete in form or function. You agree that your participation in this beta program is voluntary and on an “as-is” and “as-available” basis. We reserve the right to modify, suspend, or terminate access to the beta Service, or any part thereof, at any time and for any reason, with or without notice.
1. License to Use
Subject to your compliance with these Terms, including the confidentiality provisions herein, We grant you a limited, non-exclusive, non-transferable, revocable license to install and use DialogIQ solely for your internal educational or training purposes, and for the purpose of evaluating and providing feedback on the Service during this beta phase.
2. User Responsibilities
You are responsible for all activities conducted through your account and the content you create within scenarios.
You agree to use DialogIQ in compliance with all applicable laws and regulations, including those related to data privacy and intellectual property.
You are responsible for maintaining the confidentiality of your Google account credentials and the chat interface password set within DialogIQ settings.
You agree not to misuse the Service, including attempting to interfere with its operation, gain unauthorized access, or use it for any illegal or harmful purpose.
You are responsible for ensuring the scenarios you create and deploy are appropriate for your intended audience and educational context.
3. Intellectual Property
The Service, including its underlying technology, design, features, functionality, and all related intellectual property rights (excluding data generated by You), are and will remain the exclusive property of DialogIQ and its licensors. This includes, but is not limited to, any unreleased features, product roadmaps, or design concepts you may be exposed to during the beta program, which are considered Confidential Information (as defined below). The Service is protected by copyright, trademark, and other laws. Our trademarks may not be used in connection with any product or service without our prior written consent.
You retain ownership of the scenario content, settings, and conversation results that you create and store within your Google Workspace account using the Service.
3.A. Confidential Information
For the purposes of these Terms, “Confidential Information” includes, but is not not limited to: (a) the Service itself, including its features, functionalities, user interface, design, performance characteristics, and any non-public documentation or materials provided to you; (b) any business, technical, or financial information of DialogIQ, including product plans, roadmaps, unreleased features, know-how, trade secrets, and business strategies that you may learn or observe as a result of your participation in the beta program; (c) any feedback you provide regarding the Service (as further detailed in Section 3.B); and (d) the existence and terms of this beta program itself. Confidential Information does not include information that: (i) is or becomes publicly known through no wrongful act of yours; (ii) was rightfully known by you before disclosure by Us; or (iii) is independently developed by you without use of or reference to Our Confidential Information.
3.B. Confidentiality Obligations
You agree to:
(a) Hold all Confidential Information in strict confidence and take all reasonable precautions to protect such Confidential Information (including, without limitation, all precautions you take with your own confidential materials).
(b) Not disclose any Confidential Information to any third party without Our prior written consent.
(c) Not use any Confidential Information for any purpose outside the scope of your evaluation of the Service under this beta program. This includes, but is not limited to, not attempting to reverse engineer, decompile, or disassemble the Service, and not using the Confidential Information to develop a competing product or service, or to sell, license, or otherwise commercially exploit Our ideas or intellectual property.
(d) Not make any public statements, press releases, or social media posts about the beta Service, its features, or your participation in the beta program without Our prior written consent.
You agree that any breach of these confidentiality obligations may cause irreparable harm to Us for which monetary damages would be inadequate, and that We shall be entitled to seek equitable relief, including injunctions, in addition to any other remedies available at law or in equity.
These confidentiality obligations shall survive the termination or expiration of your participation in the beta program and these Terms for a period of three (3) years thereafter, or for trade secrets, for as long as they remain trade secrets under applicable law.
3.C. Feedback
You may, from time to time, provide suggestions, comments, or other feedback (“Feedback”) to Us with respect to the Service. You agree that all Feedback is and shall be given entirely voluntarily. We shall be free to use, disclose, reproduce, license, or otherwise distribute and exploit the Feedback provided to Us as We see fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise. You hereby grant Us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up license to use and exploit any Feedback for any purpose.
4. Large Language Model (LLM) Usage
(No changes here, but ensure your agreements with LLM providers don’t conflict with your beta confidentiality.)
DialogIQ utilizes third-party Large Language Models (LLMs) via a secure backend proxy to generate conversational responses.
You acknowledge that LLM-generated content may sometimes be inaccurate, incomplete, biased, or offensive. You are solely responsible for reviewing and evaluating the suitability and accuracy of AI-generated responses within your educational context.
We are not responsible for the content generated by the third-party LLM. Use of the LLM is subject to the terms and policies of the respective LLM provider.
Access to LLM features may be subject to usage limits or require separate subscriptions or payments, which will be clearly communicated if applicable.
5. Data and Privacy
Your use of DialogIQ is also governed by our Privacy Policy, which is incorporated herein by reference. Please review the Privacy Policy to understand our practices regarding the collection, use, and storage of your information.
6. Disclaimers
THE SERVICE IS PROVIDED AS A BETA VERSION ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE BETA SERVICE WILL BECOME GENERALLY AVAILABLE.
7. Limitation of Liability
IN NO EVENT SHALL DIALOGIQ, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY YOU TO US FOR USE OF THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM. (Consider if you want a monetary cap, even for a free beta, or just stick to the general limitation).
8. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms, or at the conclusion of the beta program.
You may terminate your use of the Service at any time by uninstalling the Add-on and deleting the associated Google Sheet and Google Drive folder. Upon termination, your obligations under Section 3.B (Confidentiality Obligations) shall survive.
9. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide reasonable notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the European Union (or a more specific member state if applicable, e.g., “the laws of Ireland”), without regard to its conflict of law provisions.
